i am starting up a nonprofit organization in the usa and is wondering 1.can a board of director have a president and 2 vice presidents? 2. does the board of directors all need to resides in usa or can be anyone in any countries? there are 3 of us who are cofounder and each one is a foreigner except me who in usa trying to write out the corporation paper to the state and someone told me that i need usa board of director since it is in usa, so i want to get it clarify 3. can board of directors get paid? Please help me out as we are young college kids trying to start nonprofit organization international

1. You can have 2 Vice Presidents 2. U.S. citizenship is not required to establish a corporation in any state. Thus foreign nationals can incorporate in any state. They don’t even have to be present in the U.S. as long as they have hired a Registered Agent residing in that state to perform the process of incorporation for them. 3. Directors can be paid

In a nonprofit, you need a minimum of 5 directors. You can give the directors a stipend such as a gratuity for each BOD meeting, but generally they do not receive a salary. Even directors of for-profit companies do not get salaries, just allowances. You can certainly have 2 VPs, there is no rule against it. Finally, about the foreign directors - yes, you can have foreign directors. In most major cities in the USA, there is a Nonprofit Resource center. The center will have detailed reading material showing you every step in the process of creating a 501 c3 organization. Go and visit them - everything's free.
