Division Counsel – Global Services South Bay
Senior attorney to serve as division counsel for $2 billion Global Services Division of Semiconductor Company having annual revenues in excess of $2 billion. This division counsel will be responsible for providing a full range of legal counseling and advice to a complex and growing business. The division counsel will coordinate the activities of a staff of other attorneys as well as the support of other members of the corporate legal staff.
Responsibilities:
- Member of senior management team, providing advice on legal, business and strategic issues.
- Responsible for legal support for worldwide operations, including customer sales, distribution and marketing agreements, joint ventures and strategic alliances, M&A integration, new business and new products, technology licensing and joint development projects, outsourcing transactions, and intellectual property counseling and enforcement.
- Negotiating, drafting, and advising on sales agreements and other commercial matters in support of a global customer base.
- Analyzing, advising and supporting plans to extend business into new countries and new customers.
- Developing legal structures to support new value-added businesses.
- Working closely with sales, marketing, business management, finance, tax, human resources and other company groups on deal structures and negotiation strategies.
- Establishing policies, procedures and template agreements, training sales professionals on legal issues and sales and contracting processes.
- Managing cross-functional project teams, including, internal and external legal counsel worldwide.
Requirements:
- Minimum of at least 10 years legal experience in top-tier law firm and in-house legal department of large corporation.
- Previous experience managing a business unit of large technology or semiconductor company.
- Extensive experience in a wide range of legal matters, including drafting and negotiating sales contracts and other commercial agreements, M&A and strategic alliances, and technology transactions. Understanding of patent, trade secret and copyright issues.
- High level of engagement and leadership. Excellent business judgment and communication skills. Ability to advise company senior management.
- Ability to work with cross-functional teams, take leadership role in driving solutions, and work under pressure to meet short deadlines.
- Occasional overseas travel will be required.
- California Bar.
