The PricewaterhouseCoopers Human Resource Transaction Services (HRTS) advises leading corporations and private equity firms on the HR-related issues found in acquisitions, divestitures, and a host of other dynamic transactions. Our practitioners work closely with our clients to identify key issues surrounding benefits, compensation, equity programs amongst other areas that can significantly impact the landscape and outcome of a transaction. Our team is fast-paced and deal-focused, and is integrated into a mult-disciplinary practice that supports our clients through each phase of a transaction - from initial due diligence to post-deal integration. Our professionals leverage their individual talents and experience with the considerable resources and global reach of our firm to help our clients address and resolve the critical HR related issues resulting from transactions. This group presents an excellent opportunity to leverage your HR skills in an exciting environment. We currently have an opportunity for an Equity Compensation Manager in our NYC office.
Responsibilities for this key role include:- Coordinate all aspects of equity compensation projects associated with mergers and acquisitions including, but not limited to, developing project scope and fees, liaising with clients and their advisors, preparing memoranda or reports, and presenting findings to the client.
- Manage input from appropriate team of PwC technical experts.
- Actively participate in the training and development of junior staff.
- Comply with all Firm quality and risk management requirements.
- Team with other transaction advisors (e.g., internal team, outside labor counsel, etc.) to ensure seamless delivery of our findings.

Job Requirement Essential
- 4 to 8 years of human resource consulting experience, preferably in executive compensation consulting environment.
- Awareness of market practice in equity compensation and the related issues that arise in mergers and acquisitions.
- Strong working knowledge of FAS 123R, taxation of equity compensation, Section 280G and Section 409A of Internal Revenue Code.
- Experience with direct client contact.
- Strong communication/presentation skills.
- Ability to work under tight timeframes / deadlines, deliver superior client service, and adjust to changing circumstances.
- Must be a dynamic and enthusiastic "self-starter", capable of showing initiative.
- Prior experience with transaction environments and previous direct involvement with mergers and acquisitions activities strongly preferred.
