Description

This position would report to the legal head of Corporate Business Development, directly supporting the work of Applied Materials’ Integration Group as part of the Mergers & Acquisitions function in Corporate Business Development.

Responsibilities

Director, M&A and Integration, Legal

  • The attorney’s primary responsibility would be to ensure timely and effective accomplishment of the specific legal tasks required to integrate newly acquired businesses into Applied Materials.
  • As an integral part of this primary responsibility, the attorney would assist in the due diligence investigation of the company or business to be acquired, the related deal negotiations and the transition of the acquired company/business from the deal team to the applicable business unit.

Legal Integration Team Lead

  • Serve as the Legal Team Lead in specific integration projects as part of the Integration Group’s overall integration project management.
  • Identify the primary attorney(s) who will be responsible for supporting the acquired business post-closing.
  • Act as the primary legal liaison between the deal team and the legal support team for the business unit.
  • Lead the transfer of knowledge from the legal due diligence team to the applicable integration team members and post-close legal support functions.
  • Identify critical legal tasks for completion and prepare related task lists and timelines for the post-close legal support team and the Integration Project Manager.
  • Work closely with the other functional integration teams to identify and drive resolution of tasks that require cross-functional solutions.
  • Attend all meetings of the integration team and the Integration Steering Committee in order to identify and evaluate legal issues as they arise.
  • Develop and communicate responses to critical legal issues as they arise.
  • Coordinate with deal counsel on closing and post-closing deal issues.
  • Work closely with the entire Integration Group to develop and improve tools, templates and processes to facilitate integration efforts.
  • Follow-up and ensure achievement of all identified critical legal tasks.

Deal Counsel

  • The attorney would also assist as needed in all aspects of M&A deal support, including conducting due diligence, working with the deal team to support contract negotiations and coordinating pre-closing and closing activities.


Qualifications
Skills
  • The ideal candidate would have at least 8 years of total transactional experience with significant involvement in mergers and acquisitions, having spent at least 4 of those years working in an active in-house mergers and acquisition group in a technology company.
  • Thorough understanding of the entire M&A process from the perspective of an in-house attorney.
  • Experience and demonstrated skill in leading cross-functional teams in identifying and addressing key due diligence issues and fashioning and driving resolutions.
  • Maturity, tact, business judgment and sound decision-making.
  • Strong communication, presentation and project management skills.
  • Willingness to travel, both domestic and international, approximately 30% of the time.
Education
  • JD from a nationally-recognized law school
