We are searching for a legal professional with experience in federal securities and filings to join our corporate Minnetonka team. As a Legal Services Specialist, you would assist with securities law compliance, preparing materials and filing related forms. Primary responsibilities include:
- Assisting in preparing and filing SEC current and periodic reports, proxy statements and NYSE listing-related documents and certifications
- Preparing and filing Section 16 reports and Form 144s
- Performing disclosure controls, internal controls and other controls as requested
- Assisting with insider trading policy compliance
- Assisting with Board of Directors matters
- Assisting with corporate governance matters
- Participating in special projects as requested by the Associate General Counsel
Qualifications The chosen candidate must possess:
- Experience in a large law firm/corporation where you worked with federal securities and related filings
- Very strong experience interpreting statutes and regulations
- MS Office proficiency
- Excellent communication skills
We also prefer:
- Experience managing a process or project
- Ability to build rapport with senior executives
