Position Description:
Positions in this function provide assistance and support to the legal staff by gathering information, researching the law, and preparing opinions and legal documents. Researches statutes, regulations, and court decisions and prepares summaries of finding for attorneys. Drafts generic, state-specific and / or client specific contracts. Submit, track, monitor and successfully conclude state and federal filings submitted to obtain licenses and certifications. Requires Legal Assistant/Paralegal Certificate or Associates Degree in legal/paralegal studies.

Qualifications:

Provide corporate governance research support for legal department and the bank, generating presentations, memos, or other documents as requested and provide corporate governance support for bank compliance and audit related requests.

Serve as the project manager and quality control check for all Board and Committee document productions; identifying all documents required, creating document lists, obtaining such documents, ensuring that the documents sets are correctly and accurately compiled and ensuring accurate distribution to senior management and to the Board.

Prepare drafts of director's resolutions, secretary's certificates, and incumbency certificates.

Track minutes to ensure original signed record sets are obtained and appropriately filed.

Ensure compliance with record keeping policies and procedures.

Maintain delegations of authority records for department.

Responsible for general paralegal duties with in a legal office.

Paralegal certification preferred.

In-house experience is preferred.
