The role: Corporate Counsel, Commercial

This job calls for an experienced attorney who will focus on commercial and sales transactions - negotiating, drafting and analyzing a wide variety of licensing, sales, strategic alliance and development agreements. The breadth of your client base means that you'll be exposed to practically every department throughout Google - and you'll also be closely involved in the development and launch of new products. You'll advise our clients on the various legal risks, business strategies and other issues related to commercial deals, and you'll also assist with the continuous development of the commercial team and its processes. Diligent and proactive, you bring excellent business judgment and strategic thinking, along with the ability to work independently as well as collaboratively in a collegial, fast-paced team environment.

Responsibilities:
  • Review, draft and negotiate advertising services agreements, sales contracts, licenses and intellectual property agreements on a daily basis.
  • Negotiate agreements that comply with company policies and risk tolerance.
  • Respond promptly to legal requests from Business Development, Advertising Sales, Licensing, Marketing and other clients, summarizing and communicating legal concepts that business people can use.
  • Advise business clients, as well as Finance and other company colleagues, on the legal issues and risks, complex deal structures, approval processes, company policies and procedures, IP and negotiation strategy.
  • Support the continuous improvement of standard form agreements and legal processes.
Requirements:
  • JD degree with excellent academic credentials from a top law school.
  • 2-6 years of related work experience.
  • In-depth experience in business development, intellectual property matters and contract law.
  • Demonstrated experience advising clients in structuring complex commercial transactions, including new media content agreements.
  • Extensive background in drafting and negotiating services agreements, sales contracts, licenses and intellectual property agreements.
  • Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure.
  • Superior English communication skills, both verbally and in writing.
