Ikaria is seeking an attorney to review, draft and negotiate a wide range of day-to-day contracts, e.g. clinical research organization, material transfer, confidentiality, manufacturing, university licensing, and IT agreements. Position will have a high degree of client and opposing counsel contact in connection with such contracts. Excellent understanding of contracts, plus strong contract drafting skills are required. Position will also handle due diligence for M&A and in-licensing, plus ancillary agreements for major transactions. This position will NOT handle negotiation and drafting for the primary M&A agreements, only ancillary agreements in connection with deals. Position will be Counsel for candidates with 3-4 years of experience, and Senior Counsel for candidates with 5-8 years of experience. Reports to Associate General Counsel. Atmosphere is collegial, fast-moving and very dynamic. Looking for a dynamic personality with strong communication skills.
REQUIREMENTS JD plus 3-8 years of contracting experience with a law firm and/or corporation. Contracting experience for pharmaceutical, medical device, or biotechnology clients is strongly preferred but not required. Strong academics. Excellent drafting and communications skills.
